For individual firms, the economic role of mergers and acquisitions (M&As) is to assist in achieving or maintaining their competitive advantage by anticipating and adjusting to change. M&As include mergers, acquisitions, divestitures, alliances, joint ventures, restructuring, minority investments, licensing, and franchising, as well as international activities. For economies, M&As help move resources from lower-value uses to higher-value uses. Yet a high number of M&A investments fail to earn their cost of capital. The materials in this book seek to improve the success rate of M&A activities.

Powerful, long-term change forces have been driving M&A activity in recent decades. Foremost is technological change, impacting every industry. Changes in transportation and communications produced the internationalization of markets. The globalization of competition and its increased intensity produced deregulation in airlines, financial services, telecommunications, and even the traditional electrical and other public utilities industries. But the massive change forces also have impacted the pharmaceutical, chemical, auto, tire, and petroleum industries. Ways of doing business will continue to change. The forms of competition will continue to multiply, and the intensity of competition will continue to increase. Relations with suppliers, workers, consumers, and other stakeholders will continue to evolve. These forces are not likely to diminish in the years ahead.

Other developments have become superimposed on the longer-term trends. An economic downturn began in early 2000. Chain reactions set in. Slowing economies always impact the durable goods industries the most adversely. Strong new growth sectors were severely stunted. The promising Internet industries came to a virtual standstill. The world telecommunications industry was battered by overinvestment and overcapacity, resulting in a collapse of profit margins. Stock market values were shattered. Large stock price declines took place in industry leaders such as Intel, Cisco, Oracle, Sun Microsystems, IBM, and even Microsoft. These problems were aggravated by geopolitical developments. International terrorism was signaled by the September 11, 2001, tragedy. Political tensions in the Middle East, India-Pakistan, Russia-Chechnya, and so on continued.

Another adverse development was the collapse of several individual companies. Some were accompanied by disclosures of fraud. Among these were Enron, WorldCom, Tyco, and ImClone. Fortune in its September 2, 2002, issue calculated that executives at 25 companies whose stock price declined 75% from their peak in the period January 1999 through May 2002 sold out before the bad news and "walked away" with $66 billion. These developments shattered confidence in the integrity of the financial markets. As a consequence, the Sarbanes-Oxley Act was signed into law on July 30, 2002. By requiring that senior corporate officials be more responsible for the preparation of their companies' financial reports, it was hoped that investors' confidence would be restored.

The dollar value of mergers in 2001, adjusted for price level changes, was down 48% from 2000. For 2002, the dollar volume again declined about 50% from the previous year. The outlook for 2003 appears to be about the same level as for 2002. The slow rate of economic recovery has impacted all forms of investment activity negatively, including M&As. However, the role of M&As is to assist firms and economies in adjusting to opportunities and change. It follows, therefore, that M&A activity has a bigger job to do because of the new and stronger shocks that have occurred. Cash purchases of divisions of distressed companies are underway. An example is the purchase of Houghton-Mifflin from Vivendi Universal by Thomas Lee Partners and Bain Capital underway in November 2002. Deal activity in October 2002 was active and rising in the computer software, supply and services, brokerage, medical supplies, broadcasting, and retail industries. Industry consolidations to reduce excess capacity are occurring. In general, with the strong new shocks, many adjustments will be required. Hence, increased M&A activities are likely as economies and financial markets recover.

CHANGES IN THE FOURTH EDITION

With two new coauthors, we have revised every chapter of the book. We have tried to cover all of the major articles and books published since the last edition. We have added a new chapter on merger arbitrage and have updated all the empirical materials.

The accounting changes that have become effective since the prior edition have been included in Chapter 3. Chapter 4 has been retitled Deal Structuring and includes method of payment, taxes, collars, and contingent payments. A strong conceptual framework is further developed in Chapter 6. The empirical materials on merger performance are reworked completely in Chapter 8. Appendix A to Chapter 8 analyzes a recent M&A sample to illustrate and explain modern techniques of performance measurements. The valuation discussions in Chapters 9 and 10 are rewritten for clarification with new applications provided. Chapters 11, 12, and 13 on restructuring are rewritten with a strong conceptual framework. Appendix A to Chapter 11 presents a case study of restructuring in the natural gas industry. Appendix A to Chapter 12 analyzes a sample of divestitures. Chapter 14 on alliances and joint ventures is broadened and includes new applications. For Chapter 16 on leveraged buyouts, we have added the capital cash flow valuation model and illustrated its use. In Chapter 18 on share repurchases, a new conceptual framework is applied in the discussion of a substantial new volume of literature. Chapter 20 on corporate governance covers new developments in corporate behavior, fraud, and ethical responsibilities. Chapter 21 on merger arbitrage reflects some Journal of Finance articles by coauthor Mark Mitchell in addition to his experience as a partner in a merger arbitrage firm. Chapter 22 includes tables summarizing alternative strategies for growth and value enhancements, as well as a new section on value-based management.

The content of the cases overlaps the traditional areas of microeconomics, business finance, mergers and takeovers, restructuring, and corporate governance. The title, Dynamic Finance, seeks to encompass multiple areas. A convergence of disciplines is emerging. We plan to continue to update cases and to add new cases as more companies adjust to the changing environment. Interesting Subject... Boring Book

The subject of this book is quite interesting and the knowledgable authors add many insights into the field of Mergers and Aquisitions. However, the book is poorly written and designed. Simply opening the book will show colorless pages and bland figures that perfectly reflect the tone and content within. There is also a surprising number of spelling mistakes and grammatical errors (something I should not expect if I'm paying over $100 for a book).

I expected more

Considering the reputation of the primary author, I found the book to be ponderous to read and seemingly focused more on what the authors wanted to discuss than what might be really useful to students and those practicing M&A. The authors should have sought a more appropriate balance between theory and practice. This tome is weighted in favor of theory. It seems to spend more time addressing societal issues and issues of government policy than addressing the mechanics of how to plan for and implement transactions. In fact, only the last few pages of the book deal superficially with an approach to doing M&A.
The book also assumes substantial knowledge of accounting, finance and economics on the part of the reader. The dearth of examples also hinders the readers ability to readily understand how to apply complex concepts explained in torturous paragraphs of prose. It would have been helpful to use more illustrations to communicate concepts that are difficult for those of us that don't have Phds to understand.
Thankfully, there are other books that are far more helpful in explaining both theory and application of M&A. I have found Mckinsey's book on Measuring and Managing Valuation to be a much better guide to understanding how to apply complex valuation techniques. Integration methodology is well explained in Marks and Clemente's Winning at Mergers. For an excellent detailed overview of M&A, see Depamphlis Mergers Acquisitions and Other Restructuring or Weston's other, more recent book on M&A.

Broad coverage but lacks focus

Three cheers (stars) for Weston's attempt to cover a vast subject in less than 500 pages of manuscript. My criticism is precisely that: the book skims the surface of a multitude of issues, providing tremendous overview and perspective, but little focus on specific topics.
Rather than a narrative like many books on this subject, Weston uses the layout of a university text book. This has pluses and minuses. At best, it gives the reader an opportunity to see the range of issues in a single framework; at worst, one comes away with little discussion of specific topics. For example, what insight can be gained from a single page discussion of such diverse and complex issues as CAPM, Porter's Five Forces and financial restructuring?
Clearly this book is for the MBA student with background understanding or the practioner who wants to see the wide array of issues in perspective. Nonetheless, I do find this a superior reference book: there are case discussions of all the recent and significant deals (through 1998), both US and European. Here, Weston provides more insight than Wasserstein's "Big Deal" by giving academic perspective and context to many headline M&A deals.

About the Author
Dr. Robert T. Grauer Dr. Robert T. Grauer is an Associate Professor in the Department of Computer Information Systems at the University of Mniami where he has been honored with the Outstanding Teacher Award in the School of Business. Dr. Grauer has written more than 20 books on programming and information systems. His work has been translated into three foreign languages and is in use at all levels of higher education at both the national and international level. Dr. Grauer has also been a consultant to several major corporations including IBM and American Express. He received his Ph.D. in Operations Research in 1972 from the Polytechnic Institute of Brooklyn. Maryann M. Barber Maryann M. Barber is a lecturer in the Department of Computer Information Systems at the University of Miami. She has been honored with several teaching awards, including the Excellence in Teaching Awards for the School of Business, the Freshman Teaching Award, the Apple Polishing Award, the Student Government Professor of the Year Award, the Interfraternity Council Professor of the Year Award, and the University of Miami Excellence in Teaching Award. About the Author

DR. SANDEEP CHATTERJEE is a seasoned technology expert and business professional with over a decade of hands-on contributions as a technologist, consultant, entrepreneur, and author. He is Chief Technology Officer of a startup focused on Web services delivery and management, and also serves as a Chief Technology Consultant for Fortune-100 and major not-for-profit organizations including Hewlett-Packard and ACCION International. Sandeep served on the Expert Group that specified the worldwide standard for mobile Web services, and was the lead of Hewlett-Packard's Web Services Mediation Platform. He was also Entrepreneur-in-Residence at FidelityCAPITAL, the VC arm of Fidelity Investments. Sandeep holds a Ph.D. in Computer Science from the Massachusetts Institute of Technology, where his research in mobile systems was selected as one of the top 35 inventions in the 35-year history of MIT's Laboratory for Computer Science.

DR. JAMES WEBBER is an architect and Web Services fanatic at Arjuna Technologies where he works on Web services transaction and Grid computing technology. Prior to joining Arjuna Technologies, he was the lead developer with Hewlett-Packard working on their BTP-based Web Services Transactions product--the industry's first Web Services Transaction solution. An active speaker and Web Services proponent, Jim is a co-author of the WS-CAF suite of specifications. Jim holds a B.Sc. in Computing Science and Ph.D. in Parallel Computing both from the University of Newcastle upon Tyne.

Preface

Web services technologies are fundamentally changing the software industry, making the role of enterprise IT organizations more strategic, and recasting the software vendor-consumer relationship. Web services are also being hailed by CEOs, CIOs, and CTOs as the next-generation vehicle for driving topline growth and controlling bottom lines. But, simply jumping on the Web services bandwagon won't lead to corporate success. Web services are simply a platform; how companies implement a solution using this new technology will determine their success, and ultimately their return on investment (ROI). In this book, we take a no-nonsense, strategic view of developing enterprise Web services and applications: looking at where the technologies are, where they are going, and how companies need to architect their own Web services solutions so as not to get left behind.

Web services platforms provide the functionality to build and interact with distributed applications by sending eXtensible Markup Language (XML) messages. Additional technology layers are constantly emerging, others are being refined, and still others are being discarded. The platform is essentially a moving target.

So as not to be left behind, companies are building and deploying their applications while work on the underlying platform continues. And, as with any industry standard initiatives, which require building consensus, the Web services platform will remain a work in progress for some time.

How can you build any meaningful application, let alone mission-critical enterprise applications, on such a platform? If you are a developer or an architect charged with building Web services or applications that consume Web services, you have to know where the platform is today, and where it is going. Otherwise, the endless pit of application rewrite and maintenance overhead will far outweigh any benefits that can be garnered from this promising new technology.

Real world, enterprise Web services and applications cannot be developed by simply reading through the SOAP (Simple Object Access Protocol) or the WSDL (Web Services Description Language) specifications. Developers must understand a number of different standards and technologies, and more importantly, their inter-relationships as well as best practices for their use.

Consider an e-business application that requires interaction between multiple partner Web services. Understanding SOAP and WSDL gives developers the ability to write Web services and consume them within their application. But, how must the application be architected to be reliable in case some Web services become unavailable? How can an application be written to seamlessly scale to support new Web services from a growing list of strategic partner companies? What are the best practices for developing mobile Web service applications, and how can individual Web services be created to support quality-of-service (QoS)? How can transactional guarantees or atomic coordination between multiple, independent Web services be supported by applications? And, how can all of this be done securely so that corporate and individual information and intellectual property are safeguarded?

In this book, we focus on how to develop Web services and applications within real world enterprise environments. We describe not only the vanilla Web services platform consisting of SOAP (Simple Object Access Protocol), WSDL (Web Services Description Language), and UDDI (Universal Description, Discovery, and Integration), but also build upon this to include the other technologies, standards, and emerging standards that provide support for transactions, security and authentication, mobile and wireless, quality-of-service, conversations, workflow, interactive applications and portals, as well as systems management.

We discuss the opportunities represented by Web services and, more importantly, describe best practices and architectural patterns for building enterprise systems that position you and your organization to most fully leverage those opportunities. We do not summarize any one Web services standard, but instead provide a sufficiently thorough discussion of all of the critical technologies and standards, as well as their inter-relationships, that are necessary for building enterprise Web services and applications. Our focus is on developing enterprise Web services and applications based on industry standard Web services technologies, not on summarizing standards.

Nice Vendor-Neutral Description

Interested in designing a Web Service? But you have never done so? Well, texts have started to appear; the latest being this one by Chatterjee and Webber. It has several merits. Perhaps the strongest is that it does not take sides in the J2EE versus Microsoft's .NET debate. Wait a minute, you might say! You have heard enough about Web Services to know that it is vendor and platform independent, much like HTML, which is an industry standard. So how could a book on Web Services NOT be neutral?
Well, consider how HTML is a standard, but different browsers render an HTML page slightly differently. And HTML is pretty simple, remember. Now consider that Web Services is far more complex. The XML messages going to and from a WS are vendor neural. But, as is made clear by the examples in the book, the XML does not describe the processing logic implementation on a WS provider, by deliberate design, to make things loosely coupled. But if that provider has, say, a transaction capability, then you can get into the nuances of implementation.
Thus, if for example you get a book on J2EE WS, that may be fine. But it may also be hard to disentangle the truly neutral design details from the necessarily hairy implementation.
The neutrality of this book should be a design virtue to you. Look, if you are going to build a WS, you probably already have preferences for .NET or J2EE (or something else). So, indeed, do get a WS book specific to that platform. But consider this book as a good second opinion, and much cheaper than hiring a consultant.

More stuff less chaff !!

Consider this - Web Services and SOAP is perhaps the only recallable evolution of technology that has witnessed the single largest involvement of standards bodies and industry bellwethers. The result? A puzzling plethora of proffered protocols that continues to confuse both sideliners and early adopters every day.

While managers are finding it increasingly difficult to understand the direction, developers are craving for clarity, consistency and a unified approach for WS adoption. "Give me the tools" they cry every day, while they keep adding to their "To Read" list a handful of new acronyms every week. The big question is, when can we build Rome, if at all?

With a gentle and brief (thank god!) introduction to underlying concepts such as SOAP, XML and UDDI, authors start talking about broader concerns - conversation, transaction, security, workflow, QoS and everything in between. While accentuating nuances of evolving standards and guessing the future trends, authors offer strategies, patterns, and tips on pitfalls to avoid. They skirt around the political interoperability issues around J2EE and .NET and focus purely on the standards. Architect's Note included at the end of every chapter makes title justified.

An implementation of WS-based ordering system presented as a case study concludes the book by bringing it all together through excellent step-by-step approach.

Although almost a year old, this book can be a survival guide for people in the trenches and the ROI-Savvy managers as well. It helps you tell the wheat from the chaff.

This is a surpringly well written, well organized book. Just about all of the major web service technologies are covered in just enough detail to give the reader a good understand of how they work and why they are needed. In addition, there are lots of simple, yet complete code samples that prepare the reader for detailed specifications and API documentation.
The book also includes background coverage of fundamental XML concepts, such as XML schema. It is worthwhile as a reference alone.
This book is much more than SOAP, WSDL, and UDDI (although these are covered in detail). This book includes advanced topics such as Web Services Conversation Language (WSCL), workflow, and transactions. The examples are easy to understand and complete.
Overall, this is a professionally written book for professionals.

About the Author

Catherine Marshall is professor in the Department of Educational Leadership at the University of North Carolina, Chapel Hill. She has published extensively about the politics of education, qualitative methodology, and women's access to careers as well as about the socialization, language, and values in educational leadership. She is the author of Reframing Educational Politics for Social Justice (Allyn & Bacon, 2004) as well as other books and numerous articles on the administrative career.

 

Maricela Oliva is an assistant professor in the Department of Educational Leadership and Policy Studies at the University of Texas at San Antonio. With a doctorate in Educational Administration from The University of Texas at Austin, Oliva is the author of a number of journal articles, book chapters, and reports regarding curricular multiculturalism and social justice for educational leaders.

I didn't know much about this book, but the one-star reviewer convinced me that it was worth buying. "ManSizedTarget" bemoans things like "indifference to homosexuality" and the "undermining of traditional power structures," which are better than enmity toward homosexuality and subservience to traditional power structures. I imagine these concepts sound especially good to gay people and minorities.
Go figure.

Excellent Resource

This book was required for my class, and it is the best book I've ever been required to buy. It is succinct and clear and easy to read. It has convenient tables summarizing types/ causes of wounds as well as the uses for different types of bandages. I especially appreciated the colored pictures provided in the back of the book, to practice identifying different types of wounds, since my professor wanted us to be able to identify wound etiology from its appearance.
